These Terms of Service (“Terms”) govern your access to and use of the Novus Miami website, applications, and related services (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Novus Miami is an online platform that aggregates information about new-development residential projects in Miami and the surrounding area, and helps buyers, realtors, and developers discover, compare, and communicate about those projects. The Service is informational and does not constitute real-estate, legal, financial, or tax advice.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to provide accurate, current, and complete information when registering and to keep it up to date.
- You may sign in with email/password or with a supported third-party provider such as Google. Using a third-party provider is also subject to that provider’s terms.
- We may suspend or terminate accounts that violate these Terms or applicable law.
4. Acceptable use
When using the Service, you agree not to:
- Scrape, harvest, or otherwise extract project data, listings, photographs, or user information for redistribution or commercial reuse without our prior written permission.
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Service.
- Use the Service to send spam or unsolicited communications to other users, realtors, or developers.
- Impersonate any person or misrepresent your affiliation with any person or entity, including any realtor or developer.
- Interfere with or disrupt the Service, attempt to gain unauthorized access, or probe for vulnerabilities.
- Upload content that infringes intellectual property rights, is unlawful, defamatory, discriminatory, or otherwise objectionable.
5. Property information; no warranty
Project details — including prices, floor plans, unit availability, amenities, completion dates, renderings, and photography — are provided to us by developers, public sources, MLS feeds, or our partners. They may change at any time without notice and may contain errors or omissions. Novus Miami does not warrant the accuracy, completeness, or currentness of any project information. You should independently verify any information that is important to a purchase decision.
6. Realtor referrals and communications
The Service may connect you with a realtor who can answer questions or assist with a transaction. Any agreement, engagement, commission, or transaction between you and that realtor (or any developer) is solely between you and them; Novus Miami is not a party to and is not responsible for it.
7. Favorites, comparisons, and collections
The Service allows you to save favorites, build comparisons, and create collections of projects. These features are provided for your convenience and may be modified or discontinued at any time. We are not responsible for any loss of saved data.
8. Intellectual property
The Service, including its design, code, text, graphics, logos, and the selection and arrangement of project information, is owned by Novus Miami or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own personal, non-commercial real-estate research or, if you are a licensed real-estate professional, for your professional use of the Service on behalf of clients.
Project renderings, photographs, and other developer-supplied content remain the property of their respective owners and may carry additional restrictions.
9. User content
If you submit content to the Service (such as messages, inquiries, profile information, or collection notes), you grant Novus Miami a worldwide, non-exclusive, royalty-free license to host, store, and display that content for the purpose of operating and providing the Service. You represent that you have the rights necessary to grant this license.
10. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Novus Miami does not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, Novus Miami and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our aggregate liability for any claim relating to the Service is limited to one hundred U.S. dollars (US$100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Novus Miami from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your breach of these Terms.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if we believe you have violated these Terms or applicable law, or to protect the Service or its users. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes to the Terms, we will revise the “Last updated” date above and, where required, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state and federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
